It's "de", not "du" normally - eg

Since the meaning is very specific, I prefer to render it as literally as possible.
"Transfert universel" or "transmission universelle du patrimoine" (as far as I know they are synonyms - the latter being the wording used in Art 1844-5 of the Civil Code) happens with the wind-up of a company and its absorption by its sole shareholder.
"Absorption" mergers work this way.
In other words it's another way of saying "transfer of the assets and liabilities to the (heir / sole shareholder) by way of universal succession".
"Transfert universel" or "transmission universelle du patrimoine" (as far as I know they are synonyms - the latter being the wording used in Art 1844-5 of the Civil Code) happens with the wind-up of a company and its absorption by its sole shareholder.

As shareholders of a company may also be companies (in large M&A transactions, it is often the case), their "patrimony" consists in assets and liabilities, so this is the standard translation we use here most of the time.
You should have a look at the parties section of... whatever you are translating (by-laws ? shareholders' agreement ?), and see if you can find out whether the shareholders are individuals or companies (or both).
BTW, the French commercial code uses "Transmission universelle de patrimoine", i.e. "de" and not "du", and not "transfert".
